Terms of Service
Plain-language draft. Text on a yellow background is a placeholder or a point the company's attorney must decide. Nothing here has been reviewed by a lawyer.
1. Agreement
These terms are between you (and the company you act for) and [OPERATOR: Transcend Tools (Texas), which operates Carrier Nexus: owner to confirm the exact legal name, entity type and mailing address], which runs Carrier Nexus. By creating an account, accepting an invitation or using the service you accept these terms and the Privacy Notice, Acceptable Use rules and, for carrier customers, the data processing terms. If you act for a company, you confirm you may bind it. If you do not agree, do not use the service. The service is for business use by people who are at least 18 years old.
2. What Carrier Nexus is
A web application that helps motor carriers and drivers keep records and make decisions: driver and equipment files, compliance reminders, documents, dispatch and loads, settlements, safety and inspection records, messaging, and connections to other services. We may add, change or remove features, and some features may be offered as trials or "beta" and may change or end. Some are in development and are labelled that way.
3. Not legal advice; your compliance is your responsibility
- Carrier Nexus is a record-keeping and decision-support tool. It is not legal, regulatory, tax, insurance or accounting advice, and it does not replace a qualified professional.
- Reminders, scores, checklists, readiness results, forms and AI output can be wrong, incomplete or out of date. Rules change and differ by state.
- Carrier Nexus is not an electronic logging device (ELD) and is not registered with the FMCSA as one. Location features use the phone's GPS; they do not replace an ELD that you are required to use. An ELD feature is in development; no feature should be treated as ELD-compliant until it is registered and announced as such.
- You remain responsible for complying with the Federal Motor Carrier Safety Regulations and all other laws that apply to you, for what you enter, and for decisions you make (hiring, dispatching, out-of-service, pay).
4. Accounts and roles
- Keep your sign-in secret and use the second step where it is offered. You are responsible for what happens under your account.
- A company's administrator decides who is invited, which role they have, and can remove them. Roles (administrator, dispatcher, office staff, driver, provider) limit what a person can see and do.
- Give accurate information. Do not share an account.
Security responsibilities
We protect the service as described on the security page. You are responsible for your people's passwords and devices, for using the second step where required, for removing people who leave, and for what you export or download. Tell us promptly if you think an account or the service has been misused.
5. Your data
As between you and us, the company that enters information owns it ("customer data"). You give us permission to store, process, display, send and back it up, and to send it to the service providers listed on the subprocessors page, only to run and secure the service and as the Privacy Notice describes. You are responsible for having the right to enter it, including notices to and consents from your drivers and staff (for example for location, consumer reports and drug-and-alcohol records). We may keep records that are designed not to be erased (see the Privacy Notice).
[COUNSEL: export and return of data on termination; our use of de-identified data; ownership wording.]
6. Acceptable use
You agree to follow the Acceptable Use rules.
7. AI features
Some features send content to an AI service to read documents or answer questions (details in the Privacy Notice). AI output can be wrong; a person must check it before relying on it. Do not send information you may not share. If you connect your own Claude (Anthropic) account, your use of it is also under your agreement with that provider, and its charges are yours.
8. Integrations and third-party services
Features that connect to other services (Google, WhatsApp/Twilio, QuickBooks, ELD providers, load boards, payment, maps) depend on those services and on your own accounts and agreements with them. We do not control them, they may change or stop, and their terms apply to your use of them. You authorise us to act on those accounts as you set them up.
9. Fees
Some features are free and some are paid. The plans, prices and per-person charges are shown in the app at the time you choose them; they can change for the future with notice. Payment is taken by our payment provider. [OWNER/COUNSEL: current prices, billing period, renewal, cancellation, refunds, taxes. The values are kept as editable data in the app and are not written here.]
10. Ownership of the software
The Carrier Nexus software, design, text and marks are owned by [OWNER DECISION: which company owns the software and marks. Do not publish until set.] and its licensors, and are protected by copyright and other laws. We give you a limited, revocable, non-exclusive, non-transferable right to use the service for your own business while these terms apply. You may not copy, resell, reverse engineer or build a competing service from it. Copyright notice: [© year + owner company].
If you send us feedback or ideas, we may use them without owing you anything.
11. Suspension and ending
You may stop using the service at any time. We may suspend or end access if you break these terms, put the service or others at risk, or do not pay. A company's administrator can remove its people. Some records cannot be erased (see the Privacy Notice). [COUNSEL: notice periods, data return, survival clauses.]
12. No warranty
[COUNSEL: warranty disclaimer. Placeholder only: the service is provided "as is" and "as available"; we do not promise it will be uninterrupted, error-free or fit for a particular purpose, or that it will keep you in compliance. Check what Texas allows.]
13. Limits of liability
[COUNSEL: limitation of liability and exclusion of indirect damages; cap amount; exceptions the law does not allow to be limited.]
14. Responsibility for claims
[COUNSEL: indemnity by the customer for its data, drivers and misuse; indemnity, if any, by us.]
15. Governing law and disputes
[COUNSEL: governing law (the owner says Texas; confirm, and whether Texas courts or arbitration), venue, arbitration or court, class-action wording, time limits.]
16. Changes to these terms
These terms have a version number and an effective date. If we change them in a way that matters, signed-in people are asked to accept the new version at their next sign-in. Using the service after the effective date means you accept the change.
17. Notices
We may give notice by e-mail to the address on your account, by a message in the app, or by posting on the service. You may give notice to the contact below. [COUNSEL: formal notice rules.]
18. Contact
[OWNER: legal notices address and e-mail.]
